Section 404 of the Sarbanes-Oxley Act requires the company's annual report filed with the SEC to contain a report on internal controls. This report must acknowlede that it is management's responsibility for establishing and maintaining adequate internal control over financial reporting and include an assessment of the effectiveness of the company's internal control over financial reporting. Management's evaluation is subject to audit by GSK's external auditors. GSK was required to comply with the requirements of Section 404 for the first time in respect of the 2006 Annual Report.
